Senior Corporate Legal Counsel

To strengthen our Legal Team, we are currently looking for a highly motivated, experienced and dynamic Senior Corporate Legal Counsel.
What are we looking for?
To ensure corporate compliance with all regulatory and statutory requirements applicable to the CMB.TECH group of companies and its businesses;
To maintain an excellent relationship with the relevant stock exchange and other financial authorities;
To ensure sound corporate administration of the CMB.TECH group of companies;
To head the corporate section of the CMB.TECH legal department and to be the Legal Director’s right hand for all corporate matters.
COMPANY SECRETARIAL
To design and implement all necessary policies and procedures to ensure that the company complies with its articles of association and its statutory and regulatory obligations, and in particular those governing its operation as a company that is dually listed in Brussels and New York;
To prepare any records required by statute to ensure that the company conducts its business in a legal and proper manner;
To attend and record meetings of the board of directors and the executive committees;
To organise and attend annual and extraordinary shareholders meetings.
COMPLIANCE OFFICER
Within the context of corporate governance, to aim to assure that the company, its officers and employees are informed of and comply with these laws, internal rules and ethical standards, including sanctions compliance and anti-bribery and anti-money laundering policies.
LEGAL
To act as contact person in respect of all corporate legal matters for the other sections of the legal department and for various other inhouse departments or overseas offices;
To draft, review and/or negotiate agreements such as joint venture agreements, shareholder agreements and share sale & purchase agreements;
To conduct research, stay up to date with and/or provide legal analysis on corporate legislative matters;
To generally attend to all corporate issues assigned by the Legal Director or the CFO.
What do you bring?
Formal education: you hold a Master's degree in Law;
You have at least 10 years of experience as an in-house legal counsel or as a lawyer in a business law firm, with a specialisation in corporate law and business law. Experience in or with stock-listed companies is a must;
Languages: proficient in Dutch and English (both spoken and written);
Solution-oriented with a positive, can-do mentality;
Excellent team player, able to work independently and take initiative.
